These Terms of Use ("Terms") govern your access to and use of the websites, platforms, and services operated by Hudson InfoSec ("Company," "we," "us," or "our"), including the hudsoninfosec.com website, the Ayewo vulnerability scanning platform, and the HSEC Sentinel SIEM platform (collectively, the "Services").
By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, you must not access or use our Services.
You must be at least 18 years of age and have the legal capacity to enter into a binding agreement to use our Services. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
To access certain features of our Services, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date.
You are responsible for maintaining the confidentiality of your login credentials, including passwords and multi-factor authentication methods. You are responsible for all activity that occurs under your account. You must notify us immediately at security@hudsoninfosec.com if you become aware of any unauthorized use of your account.
We reserve the right to suspend or terminate your account at any time for violation of these Terms, nonpayment, or any conduct that we reasonably believe is harmful to our Services, our users, or third parties.
You may use our Services only for lawful purposes and in accordance with these Terms. You agree not to:
Access to the Ayewo and HSEC Sentinel platforms is provided on a subscription basis. Pricing, features, and plan details are described on our website and may be updated from time to time.
Subscriptions are billed on a recurring monthly or annual basis as selected at the time of purchase. You authorize us to charge the payment method on file for all applicable fees.
We may change subscription pricing at any time. Price changes will take effect at the start of your next billing cycle. We will provide at least 30 days' notice of any price increase.
New subscriptions include a 30-day money-back guarantee. After this period, subscription fees are non-refundable. No refunds will be issued for partial months of service.
If payment fails or your account becomes past due, we may suspend access to the Services until payment is received. Suspension does not relieve you of your obligation to pay outstanding fees.
You retain ownership of data you submit to the Services ("Customer Data"). Customer Data includes security events, log data, scan configurations, network information, and any other content you upload or transmit through the Services.
By submitting Customer Data to the Services, you grant Hudson InfoSec a non-exclusive, worldwide, royalty-free, perpetual, irrevocable license to use, reproduce, process, adapt, analyze, and create derivative works from such data for the following purposes:
This license survives termination of your account. Data that has been incorporated into trained models, aggregated datasets, or de-identified analytical outputs will not be deleted upon account termination.
We may create aggregated, anonymized, or de-identified data derived from Customer Data. Such data does not identify you or any individual and may be used by us for any purpose without restriction.
Any suggestions, ideas, enhancement requests, or feedback you provide regarding the Services ("Feedback") are entirely voluntary. You grant us an unrestricted, perpetual, irrevocable, royalty-free license to use and incorporate Feedback into our Services without obligation or compensation to you.
If your subscription includes a physical Ayewo scanner node, the hardware remains the property of Hudson InfoSec unless otherwise stated in a separate purchase agreement. You are responsible for providing a suitable operating environment, including power and network connectivity.
Upon termination of your subscription, you must return any Company-owned hardware within 30 days. Failure to return equipment may result in a replacement charge.
You are responsible for any damage to or loss of Company-owned equipment while in your possession, excluding normal wear and tear and manufacturing defects.
The Services, including all software, algorithms, models, designs, trademarks, logos, documentation, and content, are the exclusive property of Hudson InfoSec and are protected by U.S. and international intellectual property laws. Nothing in these Terms grants you any ownership interest in the Services.
"Hudson InfoSec," "Ayewo," "HSEC Sentinel," and associated logos are trademarks of Hudson InfoSec. You may not use our trademarks without prior written consent.
Our Services may integrate with or link to third-party services, including cloud infrastructure providers, payment processors, and identity services. Your use of third-party services is subject to their respective terms and policies. We are not responsible for the availability, accuracy, or practices of any third-party service.
We strive to maintain high availability of the Services but do not guarantee uninterrupted or error-free operation. The Services may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.
We reserve the right to modify, update, or discontinue any feature or aspect of the Services at any time. We will provide reasonable notice of material changes that affect your use of the Services.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.
WE DO NOT WARRANT THAT THE SERVICES WILL DETECT ALL VULNERABILITIES, SECURITY THREATS, OR INCIDENTS, OR THAT USE OF THE SERVICES WILL MAKE YOUR SYSTEMS FULLY SECURE. CYBERSECURITY INVOLVES INHERENT RISKS, AND THE SERVICES ARE ONE COMPONENT OF A COMPREHENSIVE SECURITY PROGRAM.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL HUDSON INFOSEC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
You agree to indemnify, defend, and hold harmless Hudson InfoSec and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
These Terms are governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions.
Any dispute arising out of or relating to these Terms or the Services shall first be addressed through good-faith negotiation. If the dispute cannot be resolved through negotiation within 30 days, either party may pursue resolution in the state or federal courts located in the State of New York. You consent to the personal jurisdiction of such courts.
You agree that any dispute resolution proceedings will be conducted on an individual basis and not as part of a class, consolidated, or representative action.
You may terminate your account and stop using the Services at any time by contacting us at support@hudsoninfosec.com or through your account settings.
We may terminate or suspend your access to the Services immediately, without prior notice, for conduct that we believe violates these Terms, is harmful to other users or third parties, or for any other reason at our sole discretion.
Upon termination, your right to use the Services ceases immediately. Sections 5 (Data Ownership and License), 7 (Intellectual Property), 10 (Disclaimer of Warranties), 11 (Limitation of Liability), 12 (Indemnification), and 13 (Governing Law) survive termination.
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Hudson InfoSec regarding your use of the Services.
If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
We may provide notices to you via email, in-app notifications, or by posting on our website. Notices to us should be sent to legal@hudsoninfosec.com.
We may update these Terms from time to time. Changes will be posted on this page with an updated "Last Updated" date. Material changes will be communicated via email or in-app notification. Your continued use of the Services after any changes constitutes acceptance of the revised Terms.
